1. Introduction

Welcome to Betegift. These Terms of Service govern your use of our website, products, and services. By accessing or using Betegift's offerings, you agree to be bound by these terms.

Betegift (formerly known as Fhwinner) has been providing quality products since 2012, specializing in gift industry products and accessories. Our commitment to excellence extends to our business practices and customer relationships.

2. Definitions

• "Company" refers to Betegift, established in Ningbo, China.
• "Services" refers to product design, optimization, manufacturing, assembly, and packaging solutions provided by Betegift.
• "Client" refers to any business entity or individual that engages with Betegift for products or services.
• "Products" refers to any physical goods designed, manufactured, or supplied by Betegift.

3. Service Terms

3.1 Product Design & Optimization

Betegift provides professional product design and optimization services. All designs remain the intellectual property of Betegift until full payment is received, after which specified rights transfer to the client as outlined in individual agreements.

3.2 Manufacturing & Assembly

Production timelines are estimates and may vary based on complexity, volume, and material availability. Betegift will communicate any significant delays promptly and work to minimize disruptions.

3.3 Quality Assurance

All products undergo rigorous quality control procedures. Clients must inspect products upon receipt and report any defects within 14 days. Betegift guarantees replacement for manufacturing defects as specified in individual agreements.

4. Payment Terms

Unless otherwise specified in individual agreements, standard payment terms are:

• 30% deposit upon order confirmation
• 70% balance before shipment
• All payments must be made in the currency specified in the invoice

Late payments may result in production delays and additional fees. Long-term clients may qualify for special payment arrangements subject to approval.

5. Shipping & Delivery

Betegift offers various shipping methods based on client needs and budget. Unless specified otherwise:

• Title and risk transfer to the client once goods leave our facility
• Shipping costs and insurance are the responsibility of the client unless otherwise agreed
• Betegift is not responsible for delays caused by customs, weather, or other factors outside our control

Clients must provide accurate shipping information. Additional costs incurred due to incorrect information will be the client's responsibility.

6. Intellectual Property

Clients guarantee they have the right to use any designs, logos, or materials provided to Betegift. Clients indemnify Betegift against any intellectual property claims arising from materials they provide.

Betegift retains ownership of all designs, processes, and innovations created during product development unless explicitly transferred through written agreement.

Betegift may showcase products developed for clients in portfolios and marketing materials unless confidentiality agreements specify otherwise.

7. Confidentiality

Betegift treats all client information as confidential and will not disclose proprietary information to third parties without consent. This includes business strategies, product specifications, and pricing structures.

Clients agree to maintain confidentiality regarding Betegift's manufacturing processes, pricing structures, and other proprietary information shared during the business relationship.

8. Termination

Either party may terminate agreements with 30 days written notice, subject to the following conditions:

• Clients must pay for all work completed up to the termination date
• Clients must cover any non-refundable expenses incurred by Betegift
• Betegift may terminate immediately if clients breach payment terms or other significant contract provisions

Upon termination, all confidentiality obligations remain in effect.

9. Limitation of Liability

Betegift's liability is limited to the value of products or services provided. We are not liable for:

• Indirect, consequential, or special damages
• Business interruption or lost profits
• Damages exceeding the total amount paid for the specific products or services in question

This limitation applies regardless of the form of action, whether in contract, warranty, tort, or otherwise.

10. Governing Law

These Terms of Service are governed by the laws of the People's Republic of China. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in Ningbo, China.

Clients agree to attempt good-faith resolution of disputes through negotiation before initiating legal proceedings.

11. Amendments

Betegift reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the updated terms.

Significant changes will be communicated to active clients via email or other appropriate channels.
